E. Sharon Clark

Sharon concentrates her practice in corporate law, commercial transactions, litigation and dispute resolution, and employment and labor law.  She counsels a variety of business clients, including large manufacturing corporations and mid-size technology-based companies.  Her litigation practice includes commercial, personal injury, and professional malpractice cases.

Before joining the firm in 2000, Sharon was a solo practitioner.  Before that, she was in the legal department of Honeywell International Inc.  At Honeywell, she supervised product liability, commercial, environmental, employment, and toxic tort cases and was responsible for employment, commercial, and international law matters for the company's Automotive Sector.  Before that, she served in the corporate group where she worked on Honeywell's acquisitions, divestitures, mergers, and corporate governance activities.  Sharon worked extensively in Honeywell's legal compliance efforts as a member of the corporate compliance council; she was also instrumental in updating the corporate policies on proper business practices and developing training modules on legal topics.

She has taught graduate and undergraduate business law courses at the University of Michigan Ross School of Business and has lectured on employment law topics in the Business School's Executive Education program for new managers. 

Sharon graduated magna cum laude from William Jewell College and received a Master of Arts degree from the University of Iowa.  She received a law degree from Wayne State University in 1981, where she was Survey Editor of the Wayne Law Review

Representative Cases:

  • Kaufman v. Allied-Signal, Inc., 970 F.2d 178 (6th Cir. 1992).  Co-counsel in employment discrimination case.
  • Maumee Valley Fabricators, Inc. v. BoldEco Environment, Inc., United States District Court for the Northern District of Ohio.  Lead counsel for defendant in breach of contract action.
  • Winkler v. Westhaven Group, LLC, Common Pleas Court of Lucas County, Ohio, No. CI05-6854.  Co-counsel representing court-appointed receiver in liquidation of real estate investment business.  The receivership successfully liquidated over 250 properties and distributed in excess of $1 million to investors.
  • Formation, organization, and representation of Ohio and Michigan corporations, limited liability companies, and non-profit corporations.
  • Negotiation and preparation of contracts and other documents, including merger and acquisition, disposition, operating, stockholder, software and database licensing, distribution, indemnification, assignment, equipment design and build, and supply agreements.
  • International operations and transactions involving European and Chinese entities.
  • Negotiation of real estate purchases, sales, and commercial leases with preparation of documentation and resolution of title and mortgage problems.
  • Representation of employers before the U.S. Equal Employment Opportunity Commission, the Michigan Civil Rights Commission, and the Ohio Civil Rights Commission.  Provide advice and counsel on employment law issues, including hiring practices, compliance with the ADA, FMLA, FLSA, and other employment and civil rights laws.
